Artist's Right to Terminate. If Artist is entitled to a deposit payment as provided in the Payment section of this Agreement, and the deposit has not been paid within the time specified, Artist shall have the right to terminate this agreement without any further obligation.
Rider and Attachments. Any attached Performance Agreement Rider (the "Rider") and any other attachments or exhibits to this Agreement are incorporated in this Agreement by reference.
General. Nothing contained in this Agreement or the accompanying Rider shall be deemed to constitute either Purchaser or Artist a partner or employee of the other party. This Agreement and the accompanying Rider and exhibits express the complete understanding of the parties and may not be amended except in a writing signed by both parties. If a court finds any provision of this Agreement or the accompanying rider invalid or unenforceable, the remainder of this Agreement shall be interpreted so as best to effect the intent of the parties. This Agreement shall be governed by and interpreted in accordance with the laws of The State Of New Jersey. In the event of any dispute arising from or related to this Agreement, the prevailing party shall be entitled to attorney's fees.

Performance Agreement Rider
Additional Terms and Conditions
Merchandise: Purchaser shall not permit any other sale or distribution of merchandise bearing artist's trademarks or image without consent of The Dennis Peters Band. Purchaser shall allow sales of The Dennis Peters Band merchandise before, during, and after said performance in a prominent area leading to or contained within the performance area by properly named representatives of the band.
Dressing Room. Purchaser shall provide at least 1 safe, clean, dressing room(s). Purchaser shall provide backstage security to prevent unauthorized personnel from having access to the dressing area. Special arrangements shall include: _N/A.
Complimentary Tickets. Unless otherwise agreed, Purchaser will allow at least 4 guest(s) per band member plus 4 VIP’s whose names will be provided prior to the actual performance unless otherwise stated and agreed upon by both parties.
Security. Purchaser shall provide adequate security so as to guarantee the safety of the audience and the Artist.
Hospitality. Unless otherwise indicated, Purchaser will provide an allowance of hot and cold beverages in the dressing rooms for the sole use of band and crew members. Special arrangements shall include: minimum of 12-8 oz. bottles or 4 pitchers of water. In venues where food is served Purchaser shall provide, free of charge, 1 meal each for 4 band members. Said meal shall not exceed the equivalent of $20.00 (USD) per meal.
Accomodations. If performance results in an overnight stay, a minimum of two (2) hotel rooms, including 4 beds, will be provided by purchaser, arrangements must be made prior to performance (additional rooms must be arranged, at the same time, upon the request of The Dennis Peters Band, at the bands expense if needed.) Any performance not deemed within driving range by The Dennis Peters Band, will be subject to fares (air, ship, or ground) paid by purchaser as well as other travel expenses attached in writing to this document.
Background Music. Artist shall approve all background music played immediately prior and following the actual performance.
Clippings & Posters. Purchaser shall forward copies of all clippings, reviews and posters to Artist when at all possible.
Insurance Purchaser shall obtain and maintain, at its own expense, adequate personal injury and property damage liability insurance coverage and such coverage shall extend to all activities related to Artist's engagement and performance. Except for claims arising from Artist's willful or intentional acts, Purchaser shall indemnify Artist for any third party claims.
Cancellation. If Purchaser cancels the performance less than four weeks before the performance, Purchaser will pay Artist 25% of the guaranteed fee for the performance. If Purchaser cancels the performance less than two weeks before the performance, Purchaser will pay Artist 50% of the guaranteed fee for the performance. The parties agree that such payments are reasonable in light of anticipated or actual harm caused by the cancellation and the difficulties of proving the actual damages to Artist.
Sound System. Purchaser agrees to provide a sound system meeting the following requirements:
At least 4 monitors, 2 direct boxes, adequate power provided from a minimum of 6 outlets, 3 Vocal microphones, 3 vocal microphone stands (2 boom), 6 drum and 3 instrument microphones, adequate amplification for the venues' size and general stage lighting suitable for a live band performance, unless otherwise stated and agreed upon in this agreement.
Or if a sound system and crew are to be contracted, said contracted company must meet the above minimum conditions.
If The Dennis Peters Band is to provide sound let it so be attached, along with final costs and any amendments, in writing to this agreement and signed by each participating party
Video and Audio Taping. Purchaser shall not arrange for video or audio taping or live broadcast without first receiving written approval from The Dennis Peters Band.
